Item 8.01. Other Events.
On August 7, 2007, Hansen Natural Corporation (the "Company") issued a press release announcing that it received notification from the Los Angeles Regional Office of the U.S. Securities and Exchange Commission (the "Commission") that the Commission's staff has completed its informal inquiry into the Company's historical stock option granting practices and does not intend to recommend any enforcement action against the Company by the Commission. A copy of the press release is attached as Exhibit 99.1 hereto.

SEC COMPLETES INVESTIGATION OF HANSEN NATURAL
Corona, CA August 7, 2007 Hansen Natural Corporation (NASDAQ:HANS) today announced that it has been advised that the informal inquiry relating to the Company's historical stock option granting practices, which was being conducted by the staff of the Los Angeles Regional Office of the U.S. Securities and Exchange Commission (the "Commission"), has been completed. In a letter from the Los Angeles Regional Office, the Company was further advised that the Commission staff does not intend to recommend any enforcement action against the Company by the Commission. The letter also states that this information was provided under the guidelines in the final paragraph of Securities Act Release No. 5310.
